1. Agreement to Terms

By accessing or using the services provided by ACG Legendary ("Company", "we", "us", or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, clients, and others who access or use the Service.

2. Services Description

ACG Legendary provides digital systems, web development, automation, artificial intelligence integration, CRM consulting, and related services to businesses. The specific scope, deliverables, timeline, and pricing of each engagement are defined in a separate written agreement or proposal provided to the client prior to commencement of work.

3. Intellectual Property

Upon full payment of all fees, the client receives a license to use the deliverables produced for their specific project. ACG Legendary retains the right to display work in its portfolio unless otherwise agreed in writing. All underlying frameworks, tools, methodologies, and proprietary systems developed by ACG Legendary remain the exclusive property of ACG Legendary.

4. Client Responsibilities

Clients agree to provide timely feedback, approvals, and all necessary materials (content, brand assets, access credentials) required for project completion. Delays caused by the client's failure to provide required materials may result in project timeline adjustments and additional fees.

5. Payment Terms

Payment terms are outlined in each individual project agreement. Invoices are due within the timeframe specified in the agreement. Late payments may incur interest charges. ACG Legendary reserves the right to pause or terminate services for accounts with outstanding balances.

6. Limitation of Liability

ACG Legendary shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from the use or inability to use our services. Our total liability for any claim arising from our services shall not exceed the total amount paid by the client in the three (3) months preceding the claim.

7. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement. This includes business strategies, technical systems, client data, and financial information. This obligation survives the termination of any project agreement.

8. Termination

Either party may terminate a project agreement with written notice as specified in the individual project contract. Upon termination, the client is responsible for payment of all work completed up to the termination date. ACG Legendary will deliver all completed work product upon receipt of final payment.

9. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation, and if unsuccessful, through binding arbitration.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
